These General Terms and Conditions (the "Terms") govern all agreements between Murmur Pictures ("Murmur Pictures") and the parties with whom it enters into project agreements. Acceptance of a quotation or proposal — whether in writing or by email — constitutes full acceptance of these Terms. The applicability of any general terms and conditions of the Brand Partner is expressly excluded.

These Terms are governed by Dutch law. Murmur Pictures is registered and based in Amsterdam, the Netherlands.

Article 1

Definitions

  1. Murmur Pictures refers to the production company entering into project agreements with Brand Partners.
  2. Brand Partner refers to the company or organisation that finances a project produced by Murmur Pictures, in whole or in part. The Brand Partner is a financing partner, not a commissioning party. In entering into a project agreement with Murmur Pictures, the Brand Partner provides financial support for the production in exchange for agreed usage rights and brand association as specified in the project agreement. Creative direction, authorship, and editorial control over the production remain with Murmur Pictures at all times.
  3. Project Agreement refers to the separate written agreement entered into between Murmur Pictures and the Brand Partner in respect of a specific production. The Project Agreement sets out the specific terms of each engagement, including the production budget, financing amount, deliverables, usage rights, territory, platform, exclusivity, duration, and credit arrangements. The Project Agreement is read together with these Terms. In the event of conflict between the two, the Project Agreement prevails.
  4. Terms refers to these General Terms and Conditions as deposited with the Dutch Chamber of Commerce (Kamer van Koophandel).
Article 2

Quotations and Pricing

  1. All quotations and proposals are valid for thirty (30) days from the date of issue, unless otherwise stated.
  2. Quoted fees are guide prices based on anticipated creative, production, and time requirements at the time of quotation. Fees may be adjusted if the agreed scope of work changes materially, of which the Brand Partner will be notified in advance and in writing.
  3. All fees are exclusive of Dutch VAT (BTW) unless explicitly stated otherwise.
  4. Murmur Pictures recommends that the Brand Partner allow a contingency of ten percent (10%) on quoted fees to account for unforeseen requirements or scope development.
Article 3

Creative Process and Editorial Control

  1. Murmur Pictures operates a brand-financed entertainment model in which creative direction, authorship, and editorial control reside with Murmur Pictures throughout the production process.
  2. Creative alignment between Murmur Pictures and the Brand Partner takes place during the pitch and development phase, prior to production commencement. Once creative direction has been mutually agreed in writing and production has commenced, Murmur Pictures retains full creative and editorial latitude.
  3. The Brand Partner agrees to provide timely feedback, approvals, and any required materials during the development phase. Delays caused by the Brand Partner may affect agreed timelines and may incur additional costs, of which the Brand Partner will be notified in advance.
  4. Written sign-off from the Brand Partner will be required at key milestones of the production process as agreed between the parties. No subsequent stage may commence until written approval of the preceding stage has been received.
  5. Any material changes to agreed creative direction requested by the Brand Partner after production commencement may be subject to additional fees, of which the Brand Partner will be notified in advance and in writing.
Article 4

Payment

  1. Unless otherwise agreed in writing, the following payment schedule applies:
    • A deposit of fifty percent (50%) of the agreed fee is due prior to commencement of any creative or production work.
    • The remaining balance is due upon delivery of the final agreed deliverable.
  2. For projects structured in phases or stages, each stage must be paid in full before the subsequent stage may commence.
  3. All invoices are due within thirty (30) days of the invoice date, in accordance with the Dutch Act on Late Payments in Commercial Transactions (Wet betalingstermijnen, implementing EU Directive 2011/7/EU).
  4. In the event of late payment, Murmur Pictures reserves the right to charge statutory commercial interest in accordance with Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek), calculated from the date on which payment was due.
  5. Murmur Pictures reserves the right to suspend work in progress in the event of non-payment until all outstanding amounts have been settled in full.
  6. If a project extends beyond twelve (12) weeks from the agreed commencement date due to circumstances outside Murmur Pictures' reasonable control, Murmur Pictures reserves the right to invoice for all work completed at that point, irrespective of whether final delivery has been made.
  7. All third-party costs — including but not limited to crew, cast, locations, equipment rental, post-production facilities, music licensing, and travel — are excluded from Murmur Pictures' fees unless explicitly stated in the project agreement. Such costs will be invoiced separately or included in a production budget agreed in advance in writing.
Article 5

Intellectual Property

  1. All intellectual property rights in creative work produced by Murmur Pictures — including but not limited to film, video, photography, treatments, scripts, concepts, and development materials — vest in Murmur Pictures by operation of the Dutch Copyright Act (Auteurswet).
  2. Upon receipt of full payment, Murmur Pictures grants the Brand Partner a licence to use the agreed final deliverable(s) for the purposes, territories, platforms, and duration specified in the project agreement. Unless otherwise agreed in writing, this licence is non-exclusive. Rights not explicitly granted to the Brand Partner are retained by Murmur Pictures.
  3. The specific scope of any licence — including usage rights, territory, platform, exclusivity, and duration — shall be agreed in writing as part of the project agreement or in a separate licensing agreement.
  4. Copyright and ownership of all development materials, rejected concepts, alternative edits, unused footage, working files, and any other materials generated during the production process but not forming part of the agreed final deliverable remain the exclusive intellectual property of Murmur Pictures.
  5. In accordance with Article 25 of the Dutch Copyright Act (Auteurswet), Murmur Pictures retains moral rights over all work produced, including the right to be identified as author and the right to object to any derogatory treatment of the work. These rights cannot be waived or transferred.
  6. As part of its standard intellectual property protection practice, Murmur Pictures routinely registers original scripts, treatments, and other creative materials with recognised registration bodies, including The Script Vault (UK), the Writers Guild of America West (WGA West, USA), and the US Copyright Office (USA). Such registration is undertaken to protect the creative work and does not affect or limit the Brand Partner's rights under any licence agreed between the parties.
  7. Murmur Pictures will not knowingly infringe any third-party copyright or trademark in work produced. Unless otherwise agreed in writing, the Brand Partner is responsible for ensuring that any materials provided by the Brand Partner — including brand assets, footage, music, and other content — do not infringe third-party rights.
Article 6

Credits and Attribution

  1. Murmur Pictures shall receive appropriate credit on all final deliverables. At minimum, this shall include a credit to Murmur Pictures as production company. The form of the credit shall be agreed in writing prior to delivery.
  2. Where applicable, credits to the director and key creative contributors shall also be agreed in writing prior to delivery.
  3. Murmur Pictures reserves the right to reference and display work produced in its portfolio, showreel, press materials, and other promotional contexts, unless otherwise agreed in writing prior to delivery.
Article 7

Confidentiality

  1. Murmur Pictures will treat all information disclosed by the Brand Partner in connection with a project as strictly confidential and will not disclose such information to third parties without the Brand Partner's prior written consent, except where required by law or necessary for the performance of the project.
  2. This obligation does not apply to information that:
    • is or becomes publicly available through no fault of Murmur Pictures;
    • was already known to Murmur Pictures prior to disclosure; or
    • is independently developed by Murmur Pictures without reference to the Brand Partner's confidential information.
  3. Where a separate non-disclosure agreement (NDA) is agreed between the parties, that agreement governs confidentiality obligations and shall take precedence over this Article.
Article 8

Timelines and Force Majeure

  1. Any anticipated completion date provided by Murmur Pictures is an estimate. Murmur Pictures will make every reasonable effort to adhere to agreed timelines.
  2. Murmur Pictures will not be held liable for delays caused by: the Brand Partner's failure to provide required information, materials, or approvals in a timely manner; acts or omissions of third parties; or circumstances beyond Murmur Pictures' reasonable control.
  3. Force majeure is defined in accordance with Article 6:75 of the Dutch Civil Code and includes but is not limited to: natural disasters, pandemics, government actions, strikes, failure of utilities or infrastructure, and any other circumstance that could not reasonably have been foreseen or prevented. In the event of force majeure, Murmur Pictures' obligations are suspended for the duration of the event. If the force majeure situation continues for more than sixty (60) days, either party may terminate the agreement in writing without liability, subject to payment for work completed to date.
Article 9

Termination

  1. Either party may terminate a project agreement with thirty (30) days' written notice.
  2. In the event of termination by the Brand Partner, the Brand Partner shall pay for all work completed to the date of termination, including any third-party costs committed or incurred on the Brand Partner's behalf prior to receipt of the termination notice. Any deposit paid is non-refundable.
  3. In the event of termination by Murmur Pictures — other than for cause — Murmur Pictures will refund any amounts received in excess of the value of work completed to the date of termination.
  4. In the event of material breach by either party that remains unremedied after fourteen (14) days' written notice, the non-breaching party may terminate the agreement with immediate effect.
  5. Upon termination, intellectual property rights in completed and fully paid deliverables transfer to the Brand Partner. Rights in all other materials, including incomplete or undelivered work, remain with Murmur Pictures.
Article 10

Limitation of Liability

  1. Murmur Pictures' total liability to the Brand Partner under or in connection with any project agreement shall not exceed the total fees paid by the Brand Partner to Murmur Pictures under that agreement.
  2. Murmur Pictures is not liable for any indirect, consequential, or special damages, including but not limited to: loss of profit, loss of revenue, loss of business, or reputational damage, howsoever arising.
  3. Murmur Pictures is not liable for any loss, delay, or damage arising from the acts or omissions of third parties engaged in connection with a project.
  4. Nothing in these Terms limits either party's liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable Dutch law.
Article 11

Indemnification

  1. The Brand Partner agrees to indemnify and hold Murmur Pictures harmless from and against any claims, actions, losses, liabilities, damages, costs, or expenses arising from:
    • Materials provided by the Brand Partner that infringe third-party intellectual property rights;
    • The Brand Partner's use of delivered work outside the agreed licence scope; or
    • Any other breach by the Brand Partner of these Terms.
Article 12

Defects and Claims

  1. The Brand Partner agrees to notify Murmur Pictures in writing of any defects or disputes in relation to work or services provided within thirty (30) days of the final invoice date. Murmur Pictures will not be liable for any claims made after this period.
Article 13

Governing Law and Jurisdiction

  1. These Terms and all agreements between Murmur Pictures and the Brand Partner are governed exclusively by Dutch law.
  2. Any disputes arising from or in connection with these Terms or any project agreement shall be submitted exclusively to the competent court in Amsterdam, the Netherlands.
Article 14

General Provisions

  1. These Terms supersede all previous versions and apply to all present and future engagements with Murmur Pictures.
  2. If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
  3. No waiver of any right under these Terms shall be effective unless made in writing.
  4. These Terms may only be varied by written agreement signed by both parties.
  5. Murmur Pictures reserves the right to amend these Terms at any time. The most current version, as deposited with the Dutch Chamber of Commerce (Kamer van Koophandel) and published on the Murmur Pictures website, shall apply to all future engagements from the date of publication.

Deze Algemene Voorwaarden (de "Voorwaarden") zijn van toepassing op alle overeenkomsten tussen Murmur Pictures ("Murmur Pictures") en de partijen met wie zij projectovereenkomsten sluit. Aanvaarding van een offerte of voorstel — schriftelijk of per e-mail — geldt als volledige aanvaarding van deze Voorwaarden. De toepasselijkheid van eventuele algemene voorwaarden van de Brand Partner wordt uitdrukkelijk van de hand gewezen.

Deze Voorwaarden worden beheerst door Nederlands recht. Murmur Pictures is geregistreerd en gevestigd in Amsterdam, Nederland.

Artikel 1

Definities

  1. Murmur Pictures verwijst naar de productiemaatschappij die projectovereenkomsten sluit met Brand Partners.
  2. Brand Partner verwijst naar het bedrijf of de organisatie dat een door Murmur Pictures geproduceerd project geheel of gedeeltelijk financiert. De Brand Partner is een financieringspartner, niet een opdrachtgever. Door het sluiten van een projectovereenkomst met Murmur Pictures verleent de Brand Partner financiële steun aan de productie, in ruil voor overeengekomen gebruiksrechten en merkassociatie zoals vastgelegd in de projectovereenkomst. De creatieve regie, het auteurschap en de redactionele controle over de productie berusten te allen tijde bij Murmur Pictures.
  3. Projectovereenkomst verwijst naar de afzonderlijke schriftelijke overeenkomst die tussen Murmur Pictures en de Brand Partner wordt gesloten met betrekking tot een specifieke productie. De projectovereenkomst bevat de specifieke voorwaarden van elke opdracht, waaronder het productiebudget, het financieringsbedrag, de op te leveren resultaten, de gebruiksrechten, het territorium, het platform, de exclusiviteit, de looptijd en de creditafspraken. De projectovereenkomst wordt gelezen in samenhang met deze Voorwaarden. In geval van strijdigheid tussen beide prevaleert de projectovereenkomst.
  4. Voorwaarden verwijst naar deze Algemene Voorwaarden zoals gedeponeerd bij de Nederlandse Kamer van Koophandel.
Artikel 2

Offertes en Prijzen

  1. Alle offertes en voorstellen zijn geldig gedurende dertig (30) dagen vanaf de datum van uitgifte, tenzij anders vermeld.
  2. De geoffreerde bedragen zijn richtprijzen, gebaseerd op de verwachte creatieve, productionele en tijdsmatige vereisten op het moment van offreren. De bedragen kunnen worden aangepast indien de overeengekomen opdracht wezenlijk wijzigt, waarvan de Brand Partner vooraf en schriftelijk op de hoogte zal worden gesteld.
  3. Alle bedragen zijn exclusief Nederlandse btw, tenzij uitdrukkelijk anders vermeld.
  4. Murmur Pictures adviseert de Brand Partner om bij het bepalen van het budget rekening te houden met een contingentie van tien procent (10%) voor onvoorziene vereisten of scopeontwikkeling.
Artikel 3

Creatief Proces en Redactionele Controle

  1. Murmur Pictures hanteert een door merken gefinancierd entertainmentmodel waarbij de creatieve regie, het auteurschap en de redactionele controle gedurende het gehele productieproces bij Murmur Pictures berusten.
  2. De creatieve afstemming tussen Murmur Pictures en de Brand Partner vindt plaats tijdens de pitch- en ontwikkelingsfase, vóór de aanvang van de productie. Zodra de creatieve richting schriftelijk wederzijds is overeengekomen en de productie is gestart, behoudt Murmur Pictures volledige creatieve en redactionele vrijheid.
  3. De Brand Partner stemt ermee in tijdig feedback, goedkeuringen en eventueel benodigde materialen te verstrekken tijdens de ontwikkelingsfase. Vertragingen veroorzaakt door de Brand Partner kunnen van invloed zijn op de overeengekomen planning en kunnen leiden tot extra kosten, waarvan de Brand Partner vooraf op de hoogte zal worden gesteld.
  4. Op door partijen overeen te komen sleutelmomenten in het productieproces is schriftelijke goedkeuring van de Brand Partner vereist. Een volgende fase kan niet worden gestart totdat Murmur Pictures de schriftelijke goedkeuring voor de voorgaande fase heeft ontvangen.
  5. Wezenlijke wijzigingen in de overeengekomen creatieve richting die door de Brand Partner worden verzocht na de aanvang van de productie, kunnen leiden tot extra kosten, waarvan de Brand Partner vooraf en schriftelijk op de hoogte zal worden gesteld.
Artikel 4

Betaling

  1. Tenzij schriftelijk anders overeengekomen, geldt de volgende betalingsstructuur:
    • Een aanbetaling van vijftig procent (50%) van het overeengekomen bedrag is verschuldigd vóór de aanvang van enige creatieve of productionele werkzaamheden.
    • Het resterende saldo is verschuldigd bij oplevering van het definitief overeengekomen resultaat.
  2. Bij projecten die in fasen of stappen zijn opgebouwd, dient elke fase volledig te zijn betaald voordat de volgende fase kan worden gestart.
  3. Alle facturen zijn verschuldigd binnen dertig (30) dagen na de factuurdatum, overeenkomstig de Wet betalingstermijnen in handelstransacties (ter implementatie van EU-richtlijn 2011/7/EU).
  4. Bij te late betaling behoudt Murmur Pictures zich het recht voor de wettelijke handelsrente in rekening te brengen overeenkomstig artikel 6:119a van het Burgerlijk Wetboek, berekend vanaf de datum waarop de betaling verschuldigd was.
  5. Murmur Pictures behoudt zich het recht voor lopende werkzaamheden op te schorten in geval van wanbetaling, totdat alle uitstaande bedragen volledig zijn voldaan.
  6. Indien een project als gevolg van omstandigheden buiten de redelijke invloedssfeer van Murmur Pictures langer duurt dan twaalf (12) weken na de overeengekomen aanvangsdatum, behoudt Murmur Pictures zich het recht voor alle tot dat moment verrichte werkzaamheden te factureren, ongeacht of de definitieve oplevering heeft plaatsgevonden.
  7. Alle kosten van derden — waaronder maar niet beperkt tot crew, cast, locaties, verhuur van apparatuur, postproductiefaciliteiten, muzieklicenties en reiskosten — zijn niet inbegrepen in de bedragen van Murmur Pictures, tenzij uitdrukkelijk vermeld in de projectovereenkomst. Dergelijke kosten worden afzonderlijk gefactureerd of opgenomen in een vooraf schriftelijk overeengekomen productiebudget.
Artikel 5

Intellectueel Eigendom

  1. Alle intellectuele eigendomsrechten op door Murmur Pictures geproduceerde creatieve werken — waaronder maar niet beperkt tot film, video, fotografie, treatments, scripts, concepten en ontwikkelingsmaterialen — berusten bij Murmur Pictures op grond van de Auteurswet.
  2. Na ontvangst van de volledige betaling verleent Murmur Pictures de Brand Partner een licentie voor het gebruik van de overeengekomen definitieve resultaten voor de doeleinden, territoria, platforms en de duur zoals vastgelegd in de projectovereenkomst. Tenzij schriftelijk anders overeengekomen, is deze licentie niet-exclusief. Rechten die niet uitdrukkelijk aan de Brand Partner zijn verleend, blijven berusten bij Murmur Pictures.
  3. De specifieke reikwijdte van een licentie — waaronder gebruiksrechten, territorium, platform, exclusiviteit en looptijd — wordt schriftelijk overeengekomen als onderdeel van de projectovereenkomst of in een afzonderlijke licentieovereenkomst.
  4. Het auteursrecht op en de eigendom van alle ontwikkelingsmaterialen, verworpen concepten, alternatieve versies, ongebruikt beeldmateriaal, werkbestanden en overige materialen die tijdens het productieproces zijn gegenereerd maar geen deel uitmaken van het overeengekomen definitieve resultaat, berusten uitsluitend bij Murmur Pictures.
  5. Overeenkomstig artikel 25 van de Auteurswet behoudt Murmur Pictures de persoonlijkheidsrechten op alle geproduceerde werken, waaronder het recht op naamsvermelding en het recht zich te verzetten tegen elke aantasting van het werk. Deze rechten kunnen niet worden overgedragen of afgestaan.
  6. Als onderdeel van haar standaard bescherming van intellectueel eigendom registreert Murmur Pictures regelmatig originele scripts, treatments en andere creatieve materialen bij erkende registratie-instellingen, waaronder The Script Vault (VK), de Writers Guild of America West (WGA West, VS) en het US Copyright Office (VS). Deze registratie strekt ter bescherming van het creatieve werk en heeft geen invloed op de rechten van de Brand Partner uit hoofde van een tussen partijen overeengekomen licentie.
  7. Murmur Pictures zal bij de productie van werken niet bewust inbreuk maken op auteursrechten of merken van derden. Tenzij schriftelijk anders overeengekomen, is de Brand Partner verantwoordelijk voor het waarborgen dat door de Brand Partner aangeleverde materialen — waaronder merkactiva, beeldmateriaal, muziek en overige content — geen inbreuk maken op rechten van derden.
Artikel 6

Credits en Naamsvermelding

  1. Murmur Pictures ontvangt een passende credit op alle definitieve resultaten. Dit omvat ten minste een vermelding van Murmur Pictures als productiemaatschappij. De vorm van de credit wordt schriftelijk overeengekomen vóór de oplevering.
  2. Waar van toepassing worden ook credits voor de regisseur en belangrijke creatieve bijdragers schriftelijk overeengekomen vóór de oplevering.
  3. Murmur Pictures behoudt zich het recht voor geproduceerde werken te presenteren in haar portfolio, showreel, persmateriaal en andere promotionele contexten, tenzij schriftelijk anders overeengekomen vóór de oplevering.
Artikel 7

Vertrouwelijkheid

  1. Murmur Pictures behandelt alle informatie die de Brand Partner in verband met een project openbaart als strikt vertrouwelijk en zal deze informatie niet zonder voorafgaande schriftelijke toestemming van de Brand Partner aan derden bekendmaken, behalve voor zover wettelijk vereist of noodzakelijk voor de uitvoering van het project.
  2. Deze verplichting is niet van toepassing op informatie die:
    • openbaar is of wordt zonder toedoen van Murmur Pictures;
    • reeds bekend was bij Murmur Pictures vóór de openbaarmaking; of
    • door Murmur Pictures onafhankelijk is ontwikkeld zonder gebruik van de vertrouwelijke informatie van de Brand Partner.
  3. Indien tussen partijen een afzonderlijke geheimhoudingsovereenkomst (NDA) wordt gesloten, beheerst die overeenkomst de vertrouwelijkheidsverplichtingen en heeft zij voorrang boven dit artikel.
Artikel 8

Planning en Overmacht

  1. Elke door Murmur Pictures opgegeven verwachte opleverdatum is een schatting. Murmur Pictures zal alles in het werk stellen om de overeengekomen planning na te komen.
  2. Murmur Pictures is niet aansprakelijk voor vertragingen veroorzaakt door: het niet tijdig verstrekken van vereiste informatie, materialen of goedkeuringen door de Brand Partner; handelen of nalaten van derden; of omstandigheden buiten de redelijke invloedssfeer van Murmur Pictures.
  3. Overmacht wordt gedefinieerd overeenkomstig artikel 6:75 van het Burgerlijk Wetboek en omvat onder meer: natuurrampen, pandemieën, overheidsmaatregelen, stakingen, uitval van nutsvoorzieningen of infrastructuur, en alle andere omstandigheden die redelijkerwijs niet konden worden voorzien of voorkomen. In geval van overmacht worden de verplichtingen van Murmur Pictures opgeschort voor de duur van de overmachtssituatie. Duurt de overmachtssituatie langer dan zestig (60) dagen, dan kan elk der partijen de overeenkomst schriftelijk beëindigen zonder aansprakelijkheid, onder verplichting tot betaling voor de tot dan toe verrichte werkzaamheden.
Artikel 9

Beëindiging

  1. Elk der partijen kan een projectovereenkomst beëindigen met inachtneming van een opzegtermijn van dertig (30) dagen.
  2. Bij beëindiging door de Brand Partner is de Brand Partner gehouden alle tot de datum van beëindiging verrichte werkzaamheden te vergoeden, inclusief kosten van derden die namens de Brand Partner zijn aangegaan of gemaakt vóór ontvangst van de opzegging. De betaalde aanbetaling wordt niet gerestitueerd.
  3. Bij beëindiging door Murmur Pictures — anders dan wegens wanprestatie — zal Murmur Pictures bedragen restitueren die de waarde van de tot de datum van beëindiging verrichte werkzaamheden overschrijden.
  4. Bij wezenlijke wanprestatie door een der partijen die na veertien (14) dagen schriftelijke ingebrekestelling niet is hersteld, kan de niet-wanpresterende partij de overeenkomst met onmiddellijke ingang beëindigen.
  5. Bij beëindiging gaan de intellectuele eigendomsrechten op volledig betaalde en opgeleverde resultaten over op de Brand Partner. De rechten op alle overige materialen, waaronder onvolledige of nog niet opgeleverde werken, blijven berusten bij Murmur Pictures.
Artikel 10

Beperking van Aansprakelijkheid

  1. De totale aansprakelijkheid van Murmur Pictures jegens de Brand Partner uit hoofde van of in verband met een projectovereenkomst is beperkt tot het totaal van de door de Brand Partner aan Murmur Pictures betaalde bedragen uit hoofde van die overeenkomst.
  2. Murmur Pictures is niet aansprakelijk voor indirecte schade, gevolgschade of bijzondere schade, waaronder maar niet beperkt tot: winstderving, omzetderving, bedrijfsschade of reputatieschade, op welke grond dan ook.
  3. Murmur Pictures is niet aansprakelijk voor verlies, vertraging of schade als gevolg van handelen of nalaten van in verband met een project ingeschakelde derden.
  4. Niets in deze Voorwaarden beperkt de aansprakelijkheid van een der partijen voor overlijden of letsel als gevolg van schuld, voor fraude, of voor enige andere aansprakelijkheid die op grond van het toepasselijke Nederlandse recht niet kan worden uitgesloten of beperkt.
Artikel 11

Vrijwaring

  1. De Brand Partner vrijwaart Murmur Pictures en stelt Murmur Pictures schadeloos voor alle aanspraken, vorderingen, verliezen, aansprakelijkheden, schade, kosten of uitgaven die voortvloeien uit:
    • Door de Brand Partner aangeleverde materialen die inbreuk maken op intellectuele eigendomsrechten van derden;
    • Gebruik door de Brand Partner van opgeleverde werken buiten de overeengekomen licentieomvang; of
    • Enige andere schending van deze Voorwaarden door de Brand Partner.
Artikel 12

Gebreken en Klachten

  1. De Brand Partner stemt ermee in Murmur Pictures binnen dertig (30) dagen na de datum van de eindfactuur schriftelijk op de hoogte te stellen van eventuele gebreken of geschillen met betrekking tot geleverde werken of diensten. Murmur Pictures is niet aansprakelijk voor aanspraken die na deze termijn worden ingediend.
Artikel 13

Toepasselijk Recht en Bevoegde Rechter

  1. Deze Voorwaarden en alle overeenkomsten tussen Murmur Pictures en de Brand Partner worden uitsluitend beheerst door Nederlands recht.
  2. Alle geschillen die voortvloeien uit of verband houden met deze Voorwaarden of een projectovereenkomst worden uitsluitend voorgelegd aan de bevoegde rechter te Amsterdam, Nederland.
Artikel 14

Overige Bepalingen

  1. Deze Voorwaarden vervangen alle voorgaande versies en zijn van toepassing op alle huidige en toekomstige opdrachten aan Murmur Pictures.
  2. Indien een bepaling van deze Voorwaarden op grond van het toepasselijke recht ongeldig of niet-afdwingbaar wordt bevonden, wordt die bepaling aangepast tot het minimum dat noodzakelijk is om haar geldig en afdwingbaar te maken, terwijl de overige bepalingen onverminderd van kracht blijven.
  3. Afstand van enig recht uit hoofde van deze Voorwaarden is slechts geldig indien schriftelijk gedaan.
  4. Deze Voorwaarden kunnen uitsluitend worden gewijzigd bij schriftelijke overeenkomst ondertekend door beide partijen.
  5. Murmur Pictures behoudt zich het recht voor deze Voorwaarden te allen tijde te wijzigen. De meest actuele versie, zoals gedeponeerd bij de Kamer van Koophandel en gepubliceerd op de website van Murmur Pictures, is van toepassing op alle toekomstige opdrachten vanaf de datum van publicatie.
